Terms of Service

Welcome to SIMOKO Digital Technology LLC, doing business as SIMOKO Design Studio ("the Studio", "we", "us", or "our"). By using our website and services, you agree to comply with the following Terms of Service. Please read these terms carefully.

1. Services Description

The Studio provides the following design-related services:

• Brand Identity Design (Logo, Visual Identity Systems)
• Digital Design (Website Design, UI/UX Design)
• Creative Direction (Campaign Development, Visual Storytelling)
• Other customized design services

2. Service Process

2.1 Inquiry and Quote

After clients contact us via email or other means to describe their project requirements, we will provide a project quote and timeline estimate.

2.2 Contract Signing

Once both parties confirm the project scope, price, and timeline, a formal service contract will be signed.

2.3 Payment Terms

Unless otherwise agreed, the standard payment terms are: 50% deposit before project commencement, and the remaining 50% upon project completion and delivery.

3. Client Responsibilities

When using our services, you agree to:

• Provide accurate and complete project requirements and materials
• Provide necessary feedback and approvals within agreed timeframes
• Make payments on time as agreed
• Not use design deliverables beyond the scope specified in the contract
• Ensure provided materials do not infringe on third-party rights

4. Intellectual Property

4.1 Design Work Ownership

Upon full payment by the client, copyright of the final design deliverables will be transferred to the client. Until full payment is received, all design work remains the property of the Studio.

4.2 Portfolio Rights

Unless the client objects in writing, the Studio reserves the right to display completed projects in its portfolio.

4.3 Source Files

The provision of original design files (such as AI, PSD, Figma, etc.) will be subject to contract terms.

5. Revisions

Each project includes the number of revision rounds specified in the contract. Additional revisions beyond the agreed number will be quoted separately. Major direction changes or requirements beyond the original scope may require adjustments to the project quote and timeline.

6. Cancellation and Refunds

7. Limitation of Liability

To the maximum extent permitted by law:

• The Studio is not liable for any indirect, incidental, or consequential damages
• The Studio's maximum liability shall not exceed the fees paid by the client
• We are not responsible for third-party rights disputes arising from materials provided by the client

8. Confidentiality

Both parties agree to keep confidential any proprietary information obtained during the collaboration and shall not disclose it to third parties without written consent. This confidentiality obligation survives the termination of services.

9. Force Majeure

The Studio shall not be liable for delays or failure to perform due to force majeure events (such as natural disasters, war, pandemic, government actions, etc.). In such cases, we will notify the client as soon as possible and negotiate a solution.

10. Terms Modifications

We reserve the right to modify these Terms of Service at any time. Modified terms will become effective immediately upon posting on the website. Continued use of our services constitutes acceptance of the modified terms.

11. Governing Law and Jurisdiction

These Terms of Service are governed by the laws of the Republic of China (Taiwan). Any disputes arising from these terms shall be subject to the jurisdiction of the Kaohsiung District Court of Taiwan as the court of first instance.
